Terms & Conditions:

1. All goods delivered remain the exclusive property of M/s Sourcewell (herein after referred to as “We”, “Us”, “Company” or “Seller”) and the seller reserves the right to repossess the goods until the full and final payment is made, including all secondary costs such as interest, taxes, charges, expenses and other levies.
2. Claims for defective products, shortages, delays or failures in shipment or delivery, or for any other cause, shall be deemed waived and released by the Buyer unless made in writing within three (3) days after the Buyer’s receipt of the said Products. No claims will be considered for goods altered, defaced or upon which any additional operation has been performed and no claims will be allowed for labor, rework, transportation or other expense incurred by the Buyer, without prior written approval of the Seller.
3. The Seller shall not be responsible or liable for any delay or failure to deliver which is not attributable to the Seller or within its reasonable control. Further, performance of orders and contracts, and delivery shipment of the Products are subject to and contingent upon delay directly or indirectly caused by, or in any other manner arising from fires, floods, accidents, riots, acts of God, war, government interference, embargoes, priorities, regulations, orders and restrictions, strikes, labor difficulties, shortage of labor, fuel, power, material or supplies, transportation delays, or any other causes (whether or not similar in nature to any of these herein before specified) beyond the Seller’s control (“Force Majeure Event”) and the Seller would not be liable for any loss or damage suffered by the Buyer arising therefrom. The Seller would have the right, in the event if the happening of any of the above contingencies, at its option, to cancel the Buyer’s order or the Transaction or any part thereof without any resulting liability.
4. All delivery dates are estimates only and the time of delivery shall not be of the essence of the contract.
5. Under no circumstances will the total liability of the seller exceeds the value at which the goods are sold.
6. As per the GST Act, no amendment of Tax Invoice can be made later than 30 September of the Financial Year following the Financial Year in which the invoice is issued. In case any amendment is required in invoices, it should be informed to us within 30 days from the date of invoice.
7. Goods once sold will neither be taken back nor exchanged under any circumstances.
8. Payment should be made within the terms mentioned on the invoice. Interest, on late payment, shall be charged at the rate of 24% per annum.
9. Our responsibility ceases immediately as the goods leaves from warehouse/ business premises. Transportation of goods will be made at the buyer’s risk. We will not hold any responsibility for the damage or theft of the goods in transit. Buyer can avail of insurance at buyer’s cost.
10. Any complaint regarding this invoice should reach us in writing within 7 days from receipt of this invoice.
11. Amount of cheque / draft received from the customer will be credited to customer’s account only after clearance thereof. Action will be taken for dishonor of the cheques and bank charges will be debited to customer A/C.
12. Unless stated otherwise, Product prices shall be exclusive of all taxes, duties, levies, fees or other charges (“Taxes”) imposed by any authority in relation to a Transaction. Where applicable, forwarding, Insurance, and such Taxes will be added to the invoice as a separate charge to be paid by the Buyer.
13. All goods will be dispatched in seller’s standard packing.
14. All disputes or claim arising out of the subject matter of sale and covered under invoice shall be subject to the jurisdiction of Courts at Mumbai.
15. We will not be liable for any circumstantial & consequential loss or damage of any kind due to the use of products.
